Terms of Use

Effective date: 5 October 2026 · Beta version

1. Provider and scope

These Terms of Use govern the use of the mobile app “Groopzy” and its related services (together “Groopzy”). The provider is Groopzy GbR, represented by its partners Tobias Neef and Daniel Schotte, Käfertaler Straße 21, 68167 Mannheim, Germany, email: hello@linus.works (“we”, “us”).

Users’ own terms do not apply unless we expressly agree to them.

How we process personal data is described in our Privacy Policy at groopzy.app/datenschutzrichtlinie. It is not part of these Terms.

2. The service

Groopzy helps groups coordinate meetups. Users describe in natural language what they want to do and with whom. Groopzy suggests suitable times, sends invitations through the app and adds confirmed events to the calendar.

With the user’s permission, Groopzy can access the device calendar to find times. Users can revoke this access at any time in their device settings; some features will then be unavailable.

Groopzy uses AI-assisted features; the providers involved are listed in the Privacy Policy. AI output may be incomplete or wrong. Users should check suggested times, places and summaries before confirming them.

Groopzy is a coordination tool. We do not promise that a common time will be found, that invitees will accept or that a meetup will take place.

To take part in a coordination, invited persons also need the app and a user account. Groopzy is currently in a test phase (beta). Features may be missing, change at short notice or contain errors; we may use users’ feedback to improve Groopzy. No payments are charged during the beta; sections 4 and 6 apply only once we offer paid subscriptions.

3. Account and minimum age

Using Groopzy requires an account. When registration is complete, a contract for the free basic version is formed between the user and us.

Users must be at least 16 years old. Minors need the consent of their parents or legal guardians to purchase a paid subscription.

Registration details must be accurate. Login credentials must be kept confidential. Users must inform us without delay if they suspect that someone else is using their account.

Each person may hold only one account. Accounts are not transferable.

4. Free version and subscriptions

  1. Taking part in coordinations that others invite to is always free. Starting one’s own coordinations is free up to a monthly quota; the app shows the current number.

  2. A paid subscription removes the monthly quota. Prices, terms and features are shown in the app before purchase.

  3. Subscriptions are purchased through the Apple App Store or Google Play. Purchase, payment, renewal, cancellation and refunds are governed by the terms of the respective store; cancellation is done through its subscription settings.

5. Free access

We may grant individual persons, for example testers, the subscription free of charge or at a discount. There is no entitlement to this.

6. Right of withdrawal

Consumers have a statutory 14-day right of withdrawal for subscriptions. Withdrawal is declared and handled through the store where the subscription was purchased; its withdrawal information and procedure apply.

7. User obligations

Users use Groopzy only for private, non-commercial purposes and only in compliance with applicable law.

Users invite only people who they can reasonably assume are happy to receive an invitation. Groopzy must not be used for spam, advertising, harassment or the distribution of unlawful content. Users share invitations to people without a Groopzy account themselves, for example by sending a link via a messenger or email.

Users must not decompile the app, scrape it, circumvent its security measures or use it in a way that impairs its operation. Mandatory statutory rights remain unaffected.

Users are responsible for the content they enter in Groopzy (such as messages, locations, meetup titles). They grant us the non-exclusive rights we need to provide Groopzy to them and to the group members involved.

8. Use of cleaned planning data

With the user’s consent, we may analyse their planning histories and outcomes in cleaned form to improve our suggestions. Cleaned means: names of people, activity titles and locations are removed or replaced before analysis.

We do not pass this data to third parties for their own purposes and do not use it to train third-party AI models.

Consent is requested during onboarding, is voluntary and can be withdrawn at any time. Groopzy remains fully usable without it. Details are set out in the Privacy Policy.

9. Licence to use the app

For the duration of the contract, we grant users a non-exclusive, non-transferable right to use the app for their own private purposes. All other rights in the app, the Groopzy brand and the app’s content remain with us or our licensors.

10. Availability, updates and changes

We aim for high availability. Maintenance, disruptions at third parties (such as app stores, hosting or AI providers) and causes outside our control may temporarily limit use. To prevent misuse, we may set reasonable technical usage limits that do not restrict normal private use.

We provide the updates needed to keep Groopzy in conformity with the contract, in particular security updates. Users should install them promptly.

We may develop Groopzy further and change features where this is reasonable for users, for example for technical, legal or security reasons. If a change affects paid services more than insignificantly, we will inform users in good time beforehand. Users may then end the contract free of charge within 30 days of the change.

11. Statutory warranty

For paid services, the statutory provisions on digital products apply (sections 327 et seq. German Civil Code, BGB).

12. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.

For slight negligence, we are liable only for breach of essential contractual obligations, meaning obligations whose fulfilment makes proper performance of the contract possible in the first place and on which users may regularly rely. In that case, liability is limited to the foreseeable damage typical for this type of contract.

Otherwise, our liability is excluded. This also applies to our partners, employees and agents.

13. Term, termination and suspension

The contract for the free version runs for an indefinite period. Users may terminate it at any time by deleting their account in the app. A running subscription must additionally be cancelled through the store.

We may terminate the contract for the free version with 30 days’ notice. Running subscriptions remain unaffected until they end.

The right to terminate for good cause remains unaffected. Good cause for us includes, in particular, serious or repeated breaches of section 7. Where there is reasonable suspicion, we may temporarily suspend an account, taking the user’s legitimate interests into account.

14. Changes to these Terms

We may change these Terms where this is necessary because of new features, changes in law or case law, or for security reasons, and users are not unreasonably disadvantaged.

We will announce changes in the app or by email at least 30 days before they take effect. Changes affecting core services or prices take effect only with the user’s express consent.

15. App store terms

These Terms are concluded solely between the user and us, not with Apple Inc. or Google LLC. We alone are responsible for the app and its content.

Apple and Google have no obligation to provide maintenance or support for the app. Claims relating to the app are directed against us, not against Apple or Google.

When the app is obtained from the Apple App Store, Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against the user.

16. Final provisions

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the country in which they habitually reside.

These Terms are available in German and English. Both versions are equally binding.

If any provision is invalid, the remainder of the contract remains valid. The invalid provision is replaced by the statutory provisions.
